Order for the construction of 9 Hospitals (500, 250, 160, 100 & 5x60 bed) Turn Key – in Ghana, agreed by the Government of Ghana, offered on the Market by EUROGET DE-INVEST s.a, Financing assured and Guaranteed either on the Political side or the Commercial side by First Class Banks and Managed by EUROGET DE-INVEST s.a, and all this over a period of 42 Months. There are responsibility of Performance Bond of 10% will be issued by the contractors against the L/C(s). |

| EUROGET DE – INVEST s.a signed a Finance Agreement with Ghana Government through European Investment Banks for supply and Construct 9 Hospitals (One 500 bed Military Hospital in Kumasi for the Ministry of Defence, and 8 Hospitals: |

| In accordance with this agreement which approved by Ghanaian Parliament during Oct., 2008, public procurement approved and authorized EUROGET DE-INVEST s.a to proceed tendering and invite qualified contractors, a direct agreement invitation is announced to the companies-natural or corporate bodies, but at least to be rated AA and experienced constructors of Hospital's sectors. |

I- |
Terms of Payment will be including inside the FIDIC Contract, by an Irrevocable Letter of Credit Confirmed by European First Class Bank, this L/C will be open up on signing of the contract. |
|
II- |
The L/C will be open Non Operative, it will be automatically operative after submitting 10% Performance Bond to activate the L/C. |

III- |
5% of this P/Bond will be deducted automatically according to the work execution scale and the rest 5% will be valid one year after the work finishing. |

|

The following data and facts are to be given to prove Solvency, Economic and Technical ability of the contractor declaration of the bank of the contractor and declaration of the contractor, stating that the contractor is able to meet the Financial and Economical Conditions of the contract set out in the documentation data of the balance sheets of the previous Three years. |

Proposal have to be valid till 30th June, 2009 and it shall be evaluated on the basis of the most advantageous proposal as a whole, with special regard to the following viewpoints, in the listed order: |

| After this, offers will be evaluated according to the following considerations in the listed weight order when selecting the more favorable offers: |

The offer contains product with environmentally friendly trade-mark. |
| |
2. |
The quality assurance system of the offers has been certified by a party accredited to a national system. |
| |
|
|
|
| EUROGET DE-INVEST s.a is not announcing for a Tender, but it is will be direct agreement. |

|
|
| * The main characteristics of the project are as follow: |

Supply and construct 9 turn-key Hospitals to have 1310 bed. |
| |
2- |
Supply and construct accommodation for the medical staff and administration services. |
| |
3- |
The contractors are to be defined from any where and will be appointed according to the qualification and the price. |
| |

|
|
* Regional Hospital |
| |
|
|
|
| They provide service to a geographically well defined area of a population of 1.5 - 2 Million. The total bed state should be within 160 - 250 beds. It should provide general clinical services in the following disciplines: |
| |
|
- Medicine
- General surgery
- Pediatrics
- Obstetrics and gynecology
- Dental services
- Psychiatry
- Emergency & accident service
- Ear, nose and throat
- Ophthalmology
- Dermatology |
| |
|
|
|
| * They should also provide: |
| |
|
- Laboratory techniques
- Teaching and training for health care
- Supervision and monitoring activities
- Technical support to district hospitals. |

|
|
|
| * District Hospital: |
| |
|
-Functions and roles: each District Hospital should cater for an average population of between 100.000-200.000 people. The number of beds should be between 100 beds. |

|
|
|
| * The District Hospital should provide: |
| |
|
- Curative and preventive care.
- More skillful and competent staff.
- Treatment techniques.
- Laboratory techniques.
- Impatiens's care till can go back home.
- Training and Technical supervision to Health centers.
- 24-hour Hospital services.
- Non-clinical support services.
- Referral service. |

|
|
| The Military Hospital: Full equipment according to the BSS and codes. |
| |
|
|
|
| * The Hospital Proper, accommodates the following: |
|
|
- Proposal Treatment Facilities such as Out Patient Department with Surgical, Medical, ENT, Dental, Ophthalmology, Mother and Child Clinics, as well as Administration, Pharmacy, Physiotherapy, Pathology, Medical Records, Public Health, Emergency Departments with attached Surgical Suite, Pharmacy shop and Snack Bar Wings. |

|
- Proposed Nursing Facilities such as Surgical, Intensive Care, Medical, Mother and Child, VIP and Officers Ward Blocks. |
|
|
- Proposed Ancillary Facilities such as Sterile and Maintenance Department, Morbid Anatomy Department and Canteen Blocks as well as Refuse Disposal and Sewerage Treatment Plants, Overhead and Underground Water Tanks, Public and Staff Parking, Taxi and Trotro Station, Transformer Station, Standby Generator and access roads. |

-The Staff Residential Accommodation accommodates mainly Blocks of Flats and Bungalows. |
| |
| * Qualification of the Constructors "bidder" |
| |
(1) |
All bidders shall include the following information and documents with their bids; |
| |
|
(a) |
Copies of original documents defining the constitution or legal status, place of registration, and principal place of business, written power of attorney of the signatory of the bid to commit the bidder. |
| |
|
(b) |
Total annual turnover expressed as total volume of construction work performed in each of the last Five years; |
| |
|
(c) |
Experience in works of a similar nature and volume for each of the last Five years and details of work in hand and contractual commitments, clients who may be contacted for further information on those contracts, |
| |
|
(d) |
Major items of Construction Equipment proposed to carry out the contract; |
| |
|
(e) |
Qualifications and experience of key site management and technical personnel proposed for the contract. |
| |
|
(f) |
Reports on the Financial standing of the bidder, such as profit and loss statements and auditor’s reports for the past Five years. |
| |
|
(g) |
Evidence of adequacy of working capital for this contract, i.e., evidence of access to line(s) of credit and availability of other financial resources; |
| |
|
(h) |
Authority to seek references from the bidder’s bankers; |
| |
|
(I) |
Information regarding any current litigation in which the bidder is involved, the parties concerned, and disputed amount; and. |
| |
|
(j) |
A statement establishing that the bidder ( Including all members of a Joint Venture) and his subcontractors are not associated, nor have been associated in the past, directly or indirectly, with the consultant or any other entity having prepared the design, specifications, and other bidding documents for the project or being proposed as Engineer for the contract. |
| |
|
|
|
| |
(2) |
|
Bids submitted by a Joint Venture of two or more firms as partners shall comply with the following requirements: |
| |
|
|
|
| |
|
(a) |
The bid shall include all the information listed above for each Joint Venture partner, |
| |
|
(b) |
The bid shall be signed so as to be legally binding on all partners, |
| |
|
(c) |
One of the partners shall be nominated as being in charge and this authorization shall be evidenced by submitting a Power of Attorney signed by legally authorized signatories of all the partners, and |
| |
|
(d) |
The bid shall include a pro-forma of the Joint Venture agreement which will state, inter alia, that all partners shall be liable jointly and severally for the execution of the Contract and that the partner in charge shall be authorized to incur liabilities and receive instructions for and on behalf of any and all partners, and the entire execution of the Contract including payments shall be done exclusively with the partner in charge. |

| |
(3) |
To qualify for award of the Contract, bidders shall meet the minimum qualifying criteria listed above. |
| |
|
|
|
| |
(4) |
The figures for each of the partners of a Joint Venture shall be added together to determine the bidder’s compliance with the minimum qualifying criteria listed in above, however, for a Joint Venture to qualify, each of its partners must meet at least 25 percent of minimum criteria, and the lead partner at least 40 percent of those minimum criteria. |

|
|
| Failure to comply with this requirement will result in rejection of the Joint Venture’s bid. Subcontractors’ experience and resources shall not be taken into account in determining the bidder’s compliance with the qualifying criteria. |
